Terms for using PROGNODE.

These Terms of Service govern access to and use of the PROGNODE website, account services, licensing services, optional cloud-enabled services and related software offerings.

01 / AGREEMENT

Acceptance of these terms.

By creating a PROGNODE account, obtaining a license, purchasing or activating a service, or otherwise using PROGNODE, you agree to these Terms.

If you use PROGNODE on behalf of an organization, you represent that you are authorized to act for that organization.

02 / SERVICE

What PROGNODE provides.

PROGNODE is industrial monitoring software designed around an on-site, local-first Core.

Depending on the selected product and license, features may include device connectivity, alarm monitoring, historian recording, trends, account and licensing services, and optional Remote Access.

03 / LOCAL FIRST

Local operation by design.

Normal process monitoring is designed to operate through the local PROGNODE Core. Raw process values and historian records are intended to remain within the customer's local environment.

Optional cloud and Remote Access features may require internet connectivity and may exchange limited service information required to provide those features.

04 / ACCOUNTS

Account responsibility.

You are responsible for maintaining accurate account information and protecting account credentials.

You must not share credentials in a way that permits unauthorized access. You are responsible for activity performed through your account unless applicable law provides otherwise.

Notify PROGNODE promptly if you believe an account or credential has been compromised.

05 / ORGANIZATIONS

Roles and authority.

PROGNODE accounts may belong to an organization and may have roles such as Owner, Organization Admin or Billing Admin.

Users with administrative or billing permissions are responsible for actions taken within the permissions granted to their role.

Cloud account roles are separate from operational roles configured inside the local PROGNODE Core.

06 / LICENSES

Software and license rights.

A PROGNODE license grants a limited, non-exclusive, non-transferable right to use the applicable PROGNODE software and features for the licensed scope and period.

License scope may include product type, tag capacity, validity period, installation information, optional add-ons and other entitlements.

Except where expressly permitted by applicable law, you may not bypass license controls, circumvent technical restrictions, resell unauthorized copies, or use modified licensing credentials.

07 / REMOTE ACCESS

Optional remote services.

Remote Access is an optional cloud-enabled service and is separate from normal local LAN operation.

Remote Access capacity may be limited by the purchased entitlement. Active registered remote clients may consume that capacity.

Availability of remote functionality may depend on internet connectivity, third-party infrastructure and the condition of the customer's local environment.

08 / PAYMENTS

Plans, billing and renewal.

Where paid PROGNODE products or services are offered, the price, billing period, capacity and other commercial terms presented at purchase form part of the transaction.

Payments may be processed by an external payment provider. Additional provider terms may apply to the payment transaction.

Automatic renewal applies only where it is offered, disclosed and enabled for the applicable subscription.

09 / TAXES

Taxes and charges.

Prices may be exclusive of taxes, duties or similar government charges unless stated otherwise.

Applicable taxes may be calculated or collected as required by the payment provider, contracting entity or applicable law.

10 / RENEWAL

Expiry and grace periods.

A license or subscription may include an expiry date and a defined grace period.

Current PROGNODE commercial licensing may provide an expiry-warning window followed by a limited grace period. The exact entitlement carried by the issued license controls the licensed runtime behavior.

Features requiring a valid entitlement may stop or become restricted after the applicable license and grace periods end.

11 / REFUNDS

Cancellations and refunds.

Cancellation and refund rights may depend on the applicable purchase, jurisdiction, payment provider and mandatory consumer or commercial law.

Any specific refund or cancellation terms shown during checkout or in an order confirmation form part of the applicable transaction.

Nothing in these Terms removes rights that cannot legally be excluded.

12 / UPDATES

Software changes.

PROGNODE may release updates, security fixes, compatibility changes, new functionality or other software revisions.

Features may evolve as the product develops. We may modify or discontinue features where reasonably necessary, subject to applicable contractual and legal obligations.

13 / INDUSTRIAL USE

Monitoring is not a substitute for plant safety systems.

PROGNODE is an industrial monitoring and information product. It must not be treated as a substitute for properly engineered safety systems, emergency shutdown systems, protective relays, machine safety controls or other independently required safeguards.

Safety-critical decisions must not depend solely on PROGNODE alarms, notifications, dashboards, Remote Access or internet connectivity.

14 / CUSTOMER SITE

Your industrial environment.

You are responsible for evaluating whether PROGNODE is suitable for your equipment, process, network and operational requirements.

You are also responsible for PLC, network, operating-system, firewall, backup, cybersecurity and plant-safety configuration under your control.

15 / BACKUPS

Protect important information.

Customers should maintain appropriate backups of configurations, historian data and other information where loss could affect operations.

Software should be tested in an appropriate environment before material production changes are made.

16 / ACCEPTABLE USE

Do not misuse the service.

You must not use PROGNODE to:

  • violate applicable law;
  • gain unauthorized access to systems, networks or accounts;
  • distribute malware or malicious code;
  • interfere with the security or availability of PROGNODE services;
  • probe or circumvent security, authentication or licensing controls without authorization;
  • infringe intellectual-property or privacy rights.
17 / INTELLECTUAL PROPERTY

Ownership.

PROGNODE software, branding, website content, designs and related intellectual property remain the property of their applicable owners and licensors.

Purchasing or receiving a license gives you usage rights within the licensed scope. It does not transfer ownership of the underlying software or intellectual property.

18 / FEEDBACK

Product feedback.

If you voluntarily provide product feedback or suggestions, PROGNODE may use that feedback to improve the product without an obligation to implement the suggestion.

19 / THIRD PARTIES

External services.

PROGNODE may depend on third-party services for hosting, email, payment processing, analytics or other supporting functions.

Third-party services may have their own terms, privacy practices and availability conditions.

20 / AVAILABILITY

Service availability.

We work to maintain reliable services, but internet-connected features cannot be guaranteed to operate without interruption.

Maintenance, security events, infrastructure failure, customer network conditions or third-party outages may affect cloud-enabled functionality.

21 / PRE-RELEASE

Preview and test features.

Features identified as preview, beta, test or pre-release may change and may be less reliable than generally released functionality.

Such features should not be relied on for production-critical operations unless expressly stated otherwise.

22 / WARRANTIES

Service limitations.

To the maximum extent permitted by applicable law, PROGNODE services are provided subject to the limitations described in these Terms and the applicable product documentation.

We do not guarantee that every device, network configuration, third-party product or industrial environment will be compatible with PROGNODE.

23 / LIABILITY

Limitation of liability.

To the maximum extent permitted by applicable law, liability arising from PROGNODE will be subject to the limitations applicable to the relevant transaction, contract and jurisdiction.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

24 / SUSPENSION

Security and misuse.

Access to cloud services or accounts may be restricted or suspended where reasonably necessary to address fraud, abuse, security risk, legal requirements or material breach of these Terms.

Where appropriate, reasonable efforts will be made to resolve the issue before permanent action is taken.

26 / CHANGES

Changes to these Terms.

These Terms may be updated as PROGNODE evolves, commercial features change or legal requirements develop.

The current version will be published on this page with its effective or updated date.

27 / CONTRACTING DETAILS

Commercial operator.

The applicable contracting entity, billing information and any governing law or jurisdiction required for a paid transaction will be identified in the applicable commercial, checkout or order documentation.

Those transaction-specific terms prevail if they conflict with these general Terms.
